Maspex România gained control of Purcari Wineries

Maspex România, a member of this Polish group, has completed the procedure of a voluntary public takeover offer on the Bucharest Stock Exchange to acquire the shares of Purcari Wineries. According to the information provided by the intermediary of the public offer, BRD - Groupe Societe Generale, at the closing of the public offer, more than 71% of the shares were acquired from existing shareholders.

This means that Maspex will gain control of Purcari Wineries once all regulatory requirements have been met. Maspex România has completed the voluntary public offering of Purcari Wineries shares. After the completion of the transaction, Maspex will hold more than 72% of Purcari shares (taking into account the 1.62% of Purcari shares held by Maspex prior to the subscription).

“The acquisition of Purcari Wineries is in line with our strategy of regional expansion and strengthening our presence in the alcohol sector by investing in well-known brands with rich traditions and strong leadership positions,” said Maspex Group CEO Krzysztof Pawiński.

For his part, Maspex România CEO Grzegorz Grabowski said the company has extensive experience of doing business in the Romanian market, where Maspex Group has been present for almost 30 years. “We are the largest Polish investor and our products such as Tymbark, Tedi, La Festa and Bucovina are leading in their categories. This will be Maspex Group’s 4th acquisition in Romania. Our goal is to further strengthen Purcari Wineries’ operations by capitalizing on numerous operational, strategic and market synergies. The current management has done an excellent job in building one of the leading wine brands in the region and positioning Purcari as a strong and recognizable player in the premium wine segment”, he emphasized.

Upon completion of the transaction Maspex Group will take control of Purcari Wineries, one of the largest wine and brandy producers in Central and Eastern Europe.

According to its annual report for 2024, Purcari manages more than 2000 hectares of vineyards and 6 wineries in Moldova, Romania and Bulgaria: Purcari, Crama Ceptura, Bostavan, Bardar, Domeniile Cuza and Angel’s Estate. The company’s shares have been listed on the Bucharest Stock Exchange since February 2018.

It was previously reported that Polish group Maspex initiated a takeover deal with Purcari Wineries to obtain its controlling stake. The proposal involved the acquisition of up to 98.381% of the company’s share capital at a price of RON 21 (EUR 4.1) per 1 share of Purcari Wineries Public Company Limited. The potential value of the transaction was estimated at RON 835.2 million (EUR 164.7 million). The largest shareholders of Purcari Wineries Public Company Limited at the end of 2024 were: Amboselt Universal Inc. – 20.0705%, Dealbeta Investments – 7.8624%, Magna Umbrela Fund PLC&Oaks Emerging Umbrela Fund – 7.5992%, Clairmont Holdings Limited&Leo Overseas Limited – 6.2589%, Conseq – 5.6997%, Magna Umbrela Fund PLC – 5.4036%, Paval Holding – 4.9708%, others – 42.1349%.

To note. That Maspex Romania, one of the notable players in the beverage and food industry, ended 2024 with a turnover of RON 1.25 billion (EUR 248.5 million), up about 9% from the previous year. Maspex Romania posted a net profit of RON 177.6 million (EUR 35.3 million), up 15% year-on-year. The Romanian company is part of the Maspex Holding group headquartered in Poland, which, according to Coface research, is among the 100 largest companies in Central and Eastern Europe.
