CEIISS has refused to approve the investment in FLY ONE and is demanding a change in control of the company

The Council for the Review of Investments of Significance to National Security (CEIISS) denied approval of FLY ONE’s investments in a sector of significance to national security and rejected the application for a 90-day grace period regarding a change in control.

Authorities state that the decision was made following an investigation that lasted approximately 11 months, during which they analyzed the company’s business practices in a sector that relies on critical public infrastructure.

CEIISS claims that it repeatedly requested information and documents regarding the investment structure, beneficial owners, and financial transactions between FLY ONE Moldova and its subsidiary, FLY ONE Armenia. In the Council’s assessment, some of the requested information was not provided in full.

The analysis also examined information regarding potential links between individuals associated with the relevant companies and individuals subject to international sanctions. These circumstances were among the factors considered by the Council in reaching its decision.

The Council emphasizes that the measure taken is aimed at protecting national security interests in a strategically important region and ensuring compliance with legislation governing investments in sensitive sectors. No immediate changes are expected for the company’s passengers and business partners.

The Council clarifies that it has not ordered the suspension of the company’s operations or the revocation of its operating permits. FLY ONE continues to operate regular flights and fulfill its obligations to passengers, partners, and other economic entities.

The decision concerns exclusively aspects related to the control of investments in a region of critical importance to national security and, at this stage, does not affect the continuity of the company’s services.
