
Moldelectrica, the operator of the national power transmission grid, will be transformed into a joint-stock company wholly owned by the state. The draft government resolution, which has undergone public consultation, interagency coordination, and legal review, has been finalized and is awaiting government approval.
The reorganization is being carried out in response to an unfulfilled legal obligation from 2019 and Moldova’s commitments to international partners which are financing strategic infrastructure projects, as well as to the European Energy Community, which require the transmission system operator to be independent in functional, managerial, and operational aspects.
The new organizational structure ensures clearer and more transparent corporate governance rules, which will facilitate the implementation of strategic grid development projects and strengthen the confidence of international financial partners involved in the modernization of energy infrastructure.
The restructuring does not involve privatization of the company and does not alter the legal status of strategic energy infrastructure. The state will remain the sole shareholder of the company through the Ministry of Energy, and the power transmission grids, power plants, and other state-owned assets will remain state property in accordance with the law.
The new company, as the universal successor, will assume all rights and obligations of the state-owned enterprise Moldelectrica, including existing contracts.
Once the Government Resolution is approved, it will take effect one month after its publication. The reorganization process, including an inventory of assets, the definition of asset boundaries, and the registration of the joint-stock company, must be completed within 24 months of the resolution’s entry into force. Throughout the process, the state-owned enterprise Moldelectrica will continue its operations without interruption, and the operation of the national power grid will not be affected.
