
The identification number, the amount of contributed share capital, commercial offers, etc. will also be mandatory information.
The provision is contained in the draft law prepared by the Ministry of Economic Development and Digitalization in the context of Moldova’s preparation for accession to the EU. In particular, it prescribes its participation in BRIS – the system through which the interconnection of central, commercial and corporate registers of the EU member states is realized.
Moldova will join BRIS
Moldova’s accession to the system will provide free access of interested parties to mutual public information and documents of enterprises, which will be placed on the websites of state registration authorities of BRIS member states.
Interaction will be provided by the State Services Agency through the State Register of Legal Entities.
The draft provides for new rights, obligations and forms of information disclosure for JSCs and LLCs). It includes proposals to amend six laws regulating the establishment and registration of commercial companies, the procedure for their administration, changes in the structure of public information and its exchange with other states, etc. The draft will also include proposals for the introduction of new rights, obligations and forms of information disclosure.
Due to the existing differences in the structure of public information, the data published by legal entities in the Republic of Moldova will be harmonized with those published in the EU.
It is also proposed to establish in our legislation the prohibition to hold a managerial position in commercial companies in cases of conviction in criminal, civil or administrative cases. BRIS has it in force in all member states. As well as the application of sanctions for failure to fulfill obligations to publish the required information, etc.
In addition, the draft provides for the possibility of pledging not only securities, but also shares in the company.
In the near future, the document may be considered by the government and after approval by the parliament, it will come into force 6 months after its publication.
