The announcement of Purcari Wineries on May 21, on the website of the Bucharest Stock Exchange about the intention of Maspex Romania to acquire a controlling stake in the company and about already existing agreements had the effect of an exploded bomb. The curve of quotations instantly grew from 14.29 to 17.64 RON (+25%).
Up to now Maspex was already a minority shareholder of Purcari Wineries, but so small that it was not even mentioned in the reports on the structure of shareholders. The largest among them is Amboselt Universal Inc with a 20% stake, which belongs to the founder of Purcari Wineries group Victor Bostan.
These shareholders have agreed to buy and sell 5% of the shares at RON 21 apiece as part of the voluntary public tender offer launched by Maspex, which offers equal terms to all shareholders. The buyer has already submitted documentation to the Financial Supervisory Authority to launch a voluntary public offer to obtain a controlling stake in Purcari Wineries.
According to the agreement, Mr. Bostan will remain a shareholder through Amboselt with approximately 15% of the shares until the end of 2027. This stake involves a lock-up agreement and a “sell/purchase” option that can be exercised during the first six months of 2028 at a pre-agreed price. This will be equal to the price of the voluntary public offer to purchase plus interest of 12% per annum.
Given Victor Bostan’s role as founder of Purcari Wineries, he will work with Maspex to deliver the planned business results. To this end, the current key management team will also be retained, which has committed to realize the ambitious “2x by 200” strategy. To this end, an agreement has been signed with the CEO of Purcari Wineries, Alexandru Filip, to support his continued involvement and to include incentive clauses.
Before announcing a public takeover bid, Maspex conducted market research and obtained agreement from other shareholders to partially sell their stakes as well. Currently, legal entities other than Amboselt hold 60.5% of the shares and individuals hold 19.5%. The share capital of Purcari Wineries amounts to over EUR 404.3 thousand.
Maspex Polonia has been present on the market for 35 years, operating 18 modern plants in Poland and neighboring countries. The products are sold in more than 80 countries around the world, including Moldova. The most popular brands of alcoholic beverages are Zubrowka vodka (No. 1 in Poland) and Becherovka herbal liqueur.
In 2024 Maspex Romania’s turnover amounted to 1.26 bln RON, net profit – about 178 mln RON. The company employs 1.7 thousand people.
