
Trans-Oil Group announced the completion of the acquisition of Frial SA, a leading port infrastructure operator in the Port of Constanta, Romania. The final stage of the agreement was a memorandum dated July 30, 2025 between Aragvi Sea Terminal SRL, the Group’s Romanian subsidiary, and the previous owners of Frial SA.
The transaction was made possible following the signing of a Share Purchase Agreement (SPA) in October 2024 and the receipt of all necessary authorizations from the Romanian government, including the Competition Council and the Commission for the Examination of Foreign Direct Investment (CEISD).
Thus, Frial SA becomes an integral part of Trans-Oil Group, which strengthens its logistics and export infrastructure in the Black Sea region.
It should be noted that Frial SA operates two specialized terminals in the port of Constanta – one for bulk and general cargoes, the other for liquid commodities and vegetable oils – with an annual throughput capacity of 1.5 million tons of cereals and 500,000 tons of vegetable oil.
As part of the Group, Frial SA will continue its development with the support of a grant from the Romanian Ministry of Transportation and Infrastructure. The company is currently implementing an ambitious project to expand storage capacity to 150,000 tons.
