The takeover of Purcari Wineries by Poland’s Maspex has been approved in Moldova, Romania and Bulgaria

The Competition Councils of Moldova, Romania and Bulgaria have given the green light to the acquisition of a controlling stake in Purcari Wineries Public Company Limited by Maspex Romania SRL, according to a notice sent by the Moldovan wine producer to the Bucharest Stock Exchange (BVB) - Logos Press reports.

Note that on June 13, 2025, Maspex Romania SRL announced the launch of a voluntary public takeover offer aimed at acquiring up to 98.3811% of the issued share capital of Purcari Wineries Public Company Limited.”

The purpose of the takeover offer was to enable the bidder to obtain a strong controlling position as a long-term strategic shareholder of the company.

As a result, Maspex became the majority shareholder holding over 72% of the capital.

The Competition Councils of Moldova, Romania and Bulgaria issued the relevant approvals (the last approval was received on November 5, 2025), including the relevant economic concentration control/antitrust opinions, allowing the transaction to be completed.

Purcari Wineries Public Company Limited (brands: Purcari, Crama Ceptura, Bostavan, Bardar, Domeniile Cuza and Angel’s Estate) is one of the largest wine and brandy groups in Central and Eastern Europe. The group manages about 1,850 hectares of vineyards and has seven production sites in Moldova, Romania and Bulgaria.

Purcari Wineries is the largest exporter of wines from Moldova and the leader of the premium wine segment in Romania, supplying its products to more than 40 countries. Since February 2018, the group’s shares have been listed on the Bucharest Stock Exchange under the ticker WINE. The Group is led by Victor Bostan, who has more than 30 years of experience in the wine industry, and is backed by institutional investors Horizon Capital, Fiera Capital, Conseq, East Capital and Norges Bank.

Maspex is the largest privately owned Polish food industry group and one of the largest in Central and Eastern Europe. In 2024, the Wadowice-based company had revenues of more than PLN 16 billion. Maspex has almost 70 brands in its portfolio. Maspex has been present on the alcohol market since 2022, when it acquired CEDC – the market leader in vodka and the largest importer of alcohol in Poland.

Maspex products are produced at 18 modern factories in Poland and abroad. The company annually produces 2.2 billion liters of juices, nectars and beverages, more than 280,000 tons of pasta, cereals and instant products, almost 180,000 tons of jams and jams, as well as 155 million liters of alcohol. Every year, the company buys 380,000 tons of corn, thousands of tons of fruits and vegetables and 130,000 tons of wheat from Polish farmers.
