Romania is looking for money to buy Giurgiulesti port

The National Authority of Constanta Seaports plans to cover the acquisition of Danube Logistics, operator of the Giurgiulesti International Free Port (Moldova), by raising a total of 281.6 million Romanian lei ($65.41 million) from shareholders, Logos Press reported.

The operation, which is scheduled to be discussed at the end of March, will be accompanied by the issuance of new shares and an increase in the authorized capital from 323.3 million lei to 604.94 million lei.

The Administration of Constanta Seaports (APM) is controlled by the Ministry of Transport (80%) and the Proprietatea Foundation (20%).

It should be recalled that earlier APM submitted a binding offer to purchase at the auction for sale of the company ICS Danube Logistics, operator of the Giurgiulesti port in Moldova, whose sole shareholder is the European Bank for Reconstruction and Development (EBRD), worth approximately $62 million.

In addition to the $62 million, which represents only the takeover price of ICS Danube Logistics, APM has committed as part of the offer to subsequently invest at least $28 million in the port of Giurgiulesti. At an exchange rate of 4.32 lei to one U.S. dollar, future capital injections into AMP would amount to $65.2 million if shareholders subscribe for all shares.

In the middle of last year, Proprietatea Foundation asked the court to cancel the AMP shareholders’ decision of June 19, 2025, which approved the full acquisition of Giurgiulesti port.

APM is an organization under the Ministry of Transport that manages the port of Constanta (including the districts of Constanta, Midia and Mangalia) and the tourist port of Tomis. In 2024, APM’s turnover reached 479.38 million lei or $111 million (-13% compared to 2023), while net profit increased by 31% to 256.31 million lei ($59.4 million).
