
The Ministry of Economic Development and Digitalization has started drafting a law on European companies. It will regulate the creation, registration, operation, reorganization and liquidation of European companies on the territory of Moldova, as well as define the powers of national authorities.
The document takes into account the best practices of EU member states to ensure transparent and convenient conditions for business and investment, corporate governance and state registration of legal entities.
Harmonization with EU legislation
The project is being developed on the basis of the EU Regulation on the status of the European company (SE). Its main characteristics are:
– minimum authorized capital – 120,000 euros;
– possibility to operate in several EU countries;
– possibility to transfer the legal address from one EU country to another without liquidation;
– the official name contains the abbreviation SE, etc.
The Ministry of Economic Development and Digitalization is now conducting mandatory public consultations on the future law.
The elaboration of the project aims to create legal prerequisites for the activity of European companies on the territory of the Republic of Moldova in the context of gradual integration into the internal market of the European Union.
