At a press conference at IPN, she said that the documents that served as the basis for the convocation were forged and there was no legal basis in reality for organizing the meeting.
“A ballot was sent to the factory signed by a person claiming to own more than 25 shares. According to the law, a meeting can be called by a shareholder holding at least 5% of shares, whereas in the announcement it is called by a shareholder holding only 25 shares (that’s less than 1%). In any case, there is no such shareholder – it is a falsification, an attempt to usurp the company. In total, Topaz JSC has 408 shareholders, of which 407 are individuals, minority shareholders. The controlling stake (97.73%) is still held by the United Engine Corporation (UEC, Russia)”.
Inna Linnik noted that she filed an official appeal to the National Commission on Financial Market with a request to suspend the procedures until the situation is clarified. Otherwise, the purpose of the meeting will be “legalization of the previous decisions made outside the legal framework”.
“The attached documents speak about the allegedly held May 14 meeting, which, however, was not held. There are no minutes, there are no records, there are no notices sent to shareholders. This is a fiction, and now they are trying to cover it up with a new meeting called on the basis of false documents,” Linnik said.
Carelessness and lack of transparency in communicating with minority shareholders was cited. “The ballot was filled out by hand, and the company’s official website, which is the channel of communication with shareholders, was closed for maintenance. Obviously, the main intention is to block access to information and exclude minority shareholders from the decision-making process. I want to emphasize: if the June 6 meeting is held and has legal force, Topaz has an increased risk of losing its assets. For this purpose, it is enough just to change the statute of the joint-stock company and all the property of the strategic enterprise of Moldova can be looted”.
It should be noted that the balance of the plant has solid assets of 400 million lei, including factory equipment and a land plot of 4 hectares in the center of the capital.
“This is a coordinated and dangerous attack. The power vacuum is being used to create a parallel management and disposal of the plant’s assets. That is why I am appealing to the Inspector General of Police, the Prosecutor General’s Office, and the country’s leadership to help protect the legitimate management, access to the plant, and preservation of the assets of a strategic enterprise. This can become an example and proof that in Moldova the laws are in force and they are valid for all”.
