European investors will find it easier to take over Moldovan companies

The Ministry of Economic Development and Digitalization has announced the start of drafting a law on cross-border transformations, mergers and demergers, according to Logos Press.

European investors will find it easier to take over Moldovan companies

The initiative is dictated by the commitments undertaken by Moldova in the EU accession process and in order to implement the Government Decision No. 306/2025 on the approval of the National Program of Accession of the Republic of Moldova to the European Union for 2025-2029. The new law should be in line with the provisions of the EU legislation regulating the cross-border activities of commercial companies, set out in Directive 2017/1132. It details the processes of cross-border mergers and demergers of limited liability companies, including public companies.

The draft law will establish the conditions, procedures and legal consequences of cross-border transactions, including mechanisms to protect the rights of affiliates/shareholders, creditors and employees, as well as measures to ensure transparency and legal certainty.

At the same time, the draft aims at facilitating the freedom to establish business enterprises, preventing abuses and ensuring an adequate level of control and cooperation between the competent authorities, contributing to the development of the business environment and the integration of the Republic of Moldova into the internal market of the European Union.

Since it seems unlikely that Moldovan companies will start actively conducting cross-border merger and acquisition operations of European companies, it can be assumed that this law is intended to form a legal framework on the basis of which European investors will be able to buy up business entities registered in the Republic of Moldova.

The idea of drafting such legislation will be discussed until February 2, 2026, after which the Ministry will start working directly on the draft document.
